The 2007 RIDGID® Power Trip Annual Sweepstakes (the "Sweepstakes") is offered only to legal residents of the 48 contiguous United States and the District of Columbia who are of the legal age of majority in their respective jurisdictions and possess a valid driver’s license as of the dates of their respective entries. Void in Alaska and Hawaii, and where prohibited by law. Employees, officers and directors and their immediate family members (parents, children, siblings, spouse) wherever they may live and others living in their same household (whether related or not) of Techtronic Industries North America, Inc. (“Sponsor”), Emerson Electric Co., Home Depot U.S.A., Inc., the Jeep Marketing Group of DaimlerChrysler Motors Company LLC, Continental Promotion Group, Inc., National Association of Home Builders/International Builders Show, their respective parent companies, subsidiaries, affiliates, suppliers, and their advertising, promotion or production agencies are not eligible to enter or win a prize, unless otherwise indicated. Subsidiaries, affiliates, and suppliers of DaimlerChrysler Motors Company LLC are eligible to enter and win a prize. Sweepstakes begins on or about 12:01:00 a.m. Eastern Time (ET) on February 7, 2007 and ends on 11:59:59 p.m. ET on September 28, 2007 (“Promotion Period”).

1. To Enter. (a) In-Store. During Promotion Period, go to a participating The Home Depot® retail store or a participating promotional event for RIDGID power tools, and pick up an official entry form from the take-one tearpad. If supplies of entry forms are exhausted at a given The Home Depot® retail store or promotional event, you may instead print your full name, complete address (including zip code), daytime phone number (including area code), e-mail address (if any), date of birth and RIDGID POWER TRIP SWEEPSTAKES on a 3x5 card. Deposit completed entry in the specially marked entry box by end of promotional event or, for entry at The Home Depot® retail stores, by close of business on September 28, 2007; OR (b) By Mail. During Promotion Period, you may enter by mailing your completed entry, either by way of an official entry form received from a participating The Home Depot® store or by way of a 3"x5" card with the information required by the "In-Store" method above, in a business size (#10) envelope addressed to RIDGID Power Trip Sweepstakes Entry, P.O. Box 134, Dept. No. 83876, Niagara Falls, NY 14302. Mail-in entries must be postmarked by September 28, 2007 and received by October 5, 2007; OR (c) On-Line. During Promotion Period, log onto www.ridgid.com and click on the RIDGID 2007 SWEEPSTAKES promotional banner. Complete and thereafter transmit the online entry form by providing all requested information. All on-line entries must be received by 11:59:59 p.m. (ET) on September 28, 2007. (d) At 2007 International Builders Show. This entry method is available only to those persons who are registered attendees (who are otherwise eligible to participate in the Sweepstakes) of the 2007 International Builders Show held at the Orange County Convention Center in Orlando, Florida. Go to the RIDGID Power Tools booth at the International Builders Show during Show hours (February 7th/8th/9th, 2007: approximately 9:30 a.m. ? 5:00 p.m.; February 10, 2007: approximately 9:00 a.m. ? 3:00 p.m.) and swipe your Show badge under the electronic badge reader. Entry Limits: Limit of twenty-five (25) entries in the Sweepstakes per person during the Promotion Period regardless of the method of entry or combination of methods of entry. Persons entering the Sweepstakes at the 2007 International Builders Show are subject to an entry limit of seven (7) Show badge entries per day of the Show, which will count toward the total limit of twenty-five (25) entries in the Sweepstakes. Any person who attempts to participate with multiple e-mail and/or street addresses, under multiple identities or uses any device or artifice to enter multiple times in excess of the applicable above-indicated entry limitations will be disqualified. Any attempted on-line/email/Internet entry or Show entry other than as stated above is void. For paper entry, mechanically reproduced/copied entries will not be accepted; each paper entry submitted by mail must be mailed separately. For entry at the International Builders Show, Show badge may only be used to enter by the registered attendee to whom the Show badge was issued by National Association of Home Builders/International Builders Show personnel as per official Show registration records. In the event of a dispute as to on-line entries submitted by multiple individuals using the same e-mail account, entry will be deemed to have been submitted by the authorized subscriber of the e-mail account used to enter the Sweepstakes at the actual time of entry. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an internet address provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. On-line entries generated by script, macro, robotic, programmed or like means are prohibited and will be disqualified. All entries become the sole property of Sponsor and will not be acknowledged or returned.

2. Winner Determination: On or about October 15, 2007, potential winners will be selected in a random drawing from among all eligible entries received by Continental Promotion Group, Inc., an independent judging organization, at its offices in Tempe, AZ USA. By participating, entrants accept and agree to abide by and be bound by these Official Rules and the decisions of the judges and Sponsor, which are final and binding in all respects. Those initially selected as potential winners will be notified by mail, telephone or e-mail approximately six (6) to eight (8) weeks after drawing date.

3. Prizes/Odds of Winning:

One (1) Grand Prize: 2007 Jeep Wrangler Unlimited X 4-door 4x4 C Package with standard, no-charge paint colors. Approximate Retail Value (“ARV”): $35,940. ARV is based on Manufacturer’s Suggested Retail Price with additional accessories and upgrades. Additional accessories and upgrades are limited to Mopar rear tube bumper, Mopar front tube bumper, Mopar chrome grille, Mopar tail lamp guards, Mopar side steps, WARN® winch, Katzkin seat covers, tire cover, KICKER speaker system, RIDGID graphics, fender flares, step kit, rim upgrade, and tire upgrade, subject to availability.

One (1) First Prize: The Ultimate RIDGID Professional Package, including hammer/pulse drill, worm drive saw, jig saw, table saw, saw kit, titanium saw blade set, laminate trimmer, hand planer. Approximate Retail Value (“ARV”): $6,596.

Five (5) Second Prizes: Winner’s choice of ONE of the following: (a) RIDGID Carpenter’s Tool Package (includes round head framing nailer, roofing coil nailer, worm drive saw and titanium saw blade set); OR (b) RIDGID Portable Tool Package (includes table saw, miter saw, orbit sander, and miter saw utility vehicle). ARV of either prize option: $2,899 each. Total ARV of Second Prizes: $14,495.

Thirty (30) Third Prizes: RIDGID 18V Combo Kits, which include hammer drill, circular saw and reciprocating saw. ARV: $449 each. Total ARV of Third Prizes: $13,470.

Sixty (60) Fourth Prizes: Winner’s choice of ONE of the following: (a) RIDGID 12V Right Angle Impact Driver; OR (b) RIDGID 9.6V Pivot Driver. ARV of either prize option: $99 each. Total ARV of Fourth Prizes: $5,940.

One Thousand Five Hundred (1,500) Fifth Prizes: RIDGID gear ARV: $16 each. Total ARV of Fifth Prizes: $24,000.

TOTAL ESTIMATED VALUE OF ALL PRIZES: $100,441. All prizes will be awarded provided that a sufficient number of eligible entries are received.

Odds of winning depend on the total number of eligible entries received.

4. Prize Restrictions. (a) Grand Prize: Winner will be solely responsible for taxes, title, license and registration fees, any additional upgrade equipment, insurance, gasoline, and all other fees and expenses associated with claiming, registering or using the prize vehicle. Sponsor will issue a 1099 Form for Grand Prize. Prize will differ from vehicle as displayed in photographs, in advertising copy or at The Home Depot® retail stores and/or promotional events; photographed/displayed vehicle is for illustrative purposes only. Vehicle as displayed is equipped with lift kit which is NOT included on actual prize. Winner’s addition of upgrade equipment may cause manufacturer’s warranty of vehicle to become void. To take possession of prize vehicle, potential winner must provide proof of valid driver’s license and proof of valid, legally required insurance per the potential winner's jurisdiction of residence at the time of expected taking of possession of Grand Prize. Winner must take delivery of vehicle from DaimlerChrysler dealership near his/her residence as determined by Sponsor in Sponsor's sole discretion within sixty (60) days of notification of vehicle availability. Sponsor reserves the right to extend delivery date of vehicle by up to six (6) months from winner notification date. If Sponsor determines that vehicle is unavailable for any reason, Sponsor may award either a 2008 Jeep Wrangler as one becomes available in the ordinary course of business or another like make/model 2007 DaimlerChrysler vehicle. Such prize substitution will not result in any liability to Sponsor.

(b) All Prizes. All applicable taxes on prize are winner’s sole responsibility. For all prizes worth $600 or more (Grand Prize, First Prize, Second Prizes), Sponsor will issue a 1099 Form. No prize substitution or cash equivalent of prize except at the sole discretion of Sponsor due to prize unavailability for any reason, and only then for a prize of equal or greater value. No prize transfer. Limit of one (1) prize per family/household/address/e-mail address.

5. Additional Conditions of Participation. Potential winners may be required to complete, execute and return an affidavit of eligibility, a liability release and a publicity release (where legal). In the event of non-compliance with this requirement within the indicated time period or if prize notification/prize is returned as undeliverable, prize will be forfeited and an alternate potential winner will be selected from among all remaining eligible entries received. By accepting prize, except where prohibited by law, winner agrees to the use of his or her name, address (city, state), likeness and/or photograph for advertising/publicity/trade purposes by Sponsor and its designees without further compensation or notice; winner further agrees to complete, execute and return any documents required by Sponsor relative to such grant of rights. By participating, entrant releases and agrees to hold harmless, Sponsor, Emerson Electric Co., DaimlerChrysler Motors Company LLC, Home Depot U.S.A., Inc., National Association of Home Builders/International Builders Show, Continental Promotion Group, Inc., their respective parents, affiliates and subsidiaries, promotion marketing/advertising agencies, and the directors, officers, agents and employees of any of the above organizations from any and all liability arising from participating in the Sweepstakes, any Sweepstakes-related activity and/or acceptance, possession or use/misuse of any prize. Winner further agrees that Sponsor, Emerson Electric Co., DaimlerChrysler Motors Company LLC, Home Depot U.S.A., Inc., National Association of Home Builders/International Builders Show, and Continental Promotion Group, Inc. have not made any warranty, representation or guarantee, implied or express, in fact or in law, relative to any prize, including its quality, mechanical condition or fitness for any purpose, other than the written warranty that accompanied such prize (and such warranty will last only for the indicated term and is subject to the indicated conditions/limitations). Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or any web site; to be acting in violation of the Official Rules or to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. IF YOU DO NOT AGREE TO THE PRIVACY POLICIES OF SPONSOR, DAIMLER CHRYSLER MOTORS COMPANY LLC, AND THE INDEPENDENT JUDGING ORGANIZATION AS SET FORTH ON APPLICABLE WEB SITES, DO NOT ENTER THE SWEEPSTAKES, PROVIDE ANY PERSONAL INFORMATION ON A WEB SITE OR OTHERWISE USE A WEB SITE ASSOCIATED WITH THE SWEEPSTAKES. Any activities intended to disrupt or interfere with the proper play of the Sweepstakes, or defraud Sponsor in any way may be prosecuted to the fullest extent of the law in addition to resulting in disqualification from Sweepstakes.

6. Limitations of Liability: Independent judging organization’s computer is the official clock for all purposes of Sweepstakes. Sponsor and its agencies assume no responsibility for any incomplete, incorrect or inaccurate information, whether caused by web site users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error. Sponsor and its agencies assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any web site, electronic badge reader (including attached monitor) and/or entries. Sponsor and its agencies also assume no responsibility for late, lost, damaged, incomplete, illegible, misdirected, stolen or postage due paper entries. Sponsor and its agencies are not responsible for any problems or technical malfunctions of any telephone network or lines, electronic badge reader (including attached monitor), computer on-line-systems, servers or providers, computer equipment, software, programming or failure of e-mail on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof, or for injury or damage to entrant’s or to any person’s computer (or any information/materials stored therein) related to or resulting from downloading materials from any web site or participating in this Sweepstakes. If, for any reason Sponsor determines in its sole discretion that the on-line component and/or the International Builders Show component of the Sweepstakes (collectively, the “electronic components of the Sweepstakes”) is/are not capable of running as originally planned, including without limitation infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which, in Sponsor’s sole discretion, could corrupt or affect the administration, security, fairness, integrity or proper conduct of electronic component(s) of the Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the affected electronic component(s) of the Sweepstakes. In such event, Sponsor will select the winners in a random drawing comprised of all eligible paper entries received in-store, at promotional events and via mail and all eligible entries received via the unaffected electronic component of the Sweepstakes (if any) and all eligible entries received via the affected electronic component(s) of the Sweepstakes prior to (and/or after, if appropriate) the action taken by Sponsor or by some other means deemed by Sponsor in its sole discretion to be fair, appropriate and consistent with the spirit of these Official Rules. Notice of any such action will be posted on www.ridgid.com.

7. Privacy: By entering the Sweepstakes at a The Home Depot® retail store, a promotional event for RIDGID power tools, via mail or on-line, we will collect your name, address, phone number, age and e-mail address (if any). Similar demographic information will be collected when entering at the 2007 International Builders Show (i.e., Show registration information). We will use this information to administer your participation in the Sweepstakes. At the time you are entering the Sweepstakes, we may ask your permission to send you future marketing information/materials from Techtronic Industries North America, Inc. and DaimlerChrysler Motors Company LLC. 8. ARBITRATION/CHOICE OF LAW:
Except where prohibited, entrants agree that (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to take place in the State of South Carolina, USA pursuant to the Rules of the American Arbitration Association, then effective, and (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Sweepstakes but in no event attorney’s fees; and (3) under no circumstances will an entrant be permitted to obtain awards for and entrants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. BY AGREEING TO RESOLVE ANY DISPUTE HEREUNDER BY MEANS OF ARBITRATION, YOU KNOWINGLY AGREE TO WAIVE, AND HEREBY WAIVE, ANY RIGHT TO TRIAL BY JURY.
